
A clean 1099 filing season starts with a complete payment ledger. For a Delaware C-corp, the practical challenge is often coordinating several systems and making sure someone owns the final submission.
Use this checklist for payments made during calendar year 2026. Your corporate income tax return, payroll returns, and Delaware franchise tax remain separate obligations.
Export payments from every company bank account, bill-pay platform, and contractor payment tool. Include payments approved outside the normal workflow. Consolidate duplicate vendor records before testing annual thresholds.
Keep payment dates and methods. A list of unpaid invoices is not the same as a list of amounts paid during the calendar year.
Match each U.S. vendor's legal name, address, tax classification, and taxpayer ID to its W-9. Review missing or inconsistent forms early. Foreign vendors need a separate documentation and withholding analysis.
Assign an owner to each exception. A filing service cannot reliably resolve an unidentified vendor using a bank transaction description alone.
The general federal 1099-NEC threshold for 2026 is $2,000 or more per payee; it was $600 for 2025. Backup withholding can require a return below the ordinary threshold. Certain 1099-MISC categories have different thresholds. Use the IRS NEC and MISC instructions rather than applying one threshold to everything.
Review corporate-payee exceptions, including attorney payments. Exclude payment-card and qualifying third-party-network settlements from your own NEC or MISC reporting as required, while checking whether software-routed bank transfers actually qualify for that treatment.
The federal electronic-filing threshold generally applies when you file 10 or more covered information returns in aggregate. It is not a separate 10-form allowance for each type. Review the general information-return instructions, including exceptions and waiver procedures.
Ask your provider which system it will use, when access must be established, and who handles rejected submissions. The IRS is retiring FIRE, with IRIS becoming the intake system for the 2027 filing season. Check the current IRS filing-system guidance before relying on an old workflow.
For 2026 compensation, the normal January 31 deadline falls on a Sunday, so the federal 1099-NEC deadline is February 1, 2027. IRS submission and furnishing the recipient's copy are separate responsibilities. MISC deadlines differ by box and filing method.
Confirm applicable state requirements too. Delaware incorporation does not eliminate obligations connected with other jurisdictions. Electronic recipient delivery has consent requirements; uploading a PDF somewhere does not necessarily complete the task.
Retain the final vendor totals, filed forms, acceptance confirmations, and evidence of recipient delivery. Review errors promptly and use the appropriate correction procedure. Track corrected recipient copies as well as corrected government filings.
Set an internal review date ahead of the legal deadline. Your goal is a documented chain from vendor payment to accepted return, with unresolved items visible to the founder and accounting team.
